Technology procurement

We advise purchasers of IT systems and services upon system integration projects, software development, licensing and support, escrow, teaming, facilities management and ASP arrangements.

We assist at each key stage of a procurement project, from preparing tender documents (RFIs, RFPs), evaluating and selecting suppliers, and formulating and negotiating contracts, through to post-contract project management.

Team members have secondment experience with major suppliers, and this hands-on insight ensures a results driven, commercial approach at all times. We provide pragmatic legal documents reflecting market best practice.

Our extensive experience of the OGC Model ICT Contracts assists public sector clients in procuring technology and services.

Supply of IT products and services

We act for originators and re-sellers of technology including leading names in the print, digital imaging, entertainment and engineering sectors. There is close involvement in the protection and commercial exploitation of software and services. We work with clients to develop robust, but user friendly supplier documentation.


Outsourcing projects typically carry significant legal risk. The T&O Group regularly advises upon the outsourcing of IT and telecommunication services and a wide variety of other essential business processes, together with supply-chain initiatives and strategic partnerships. From the outset we identify key risks and benefits, and can secure appropriate conditions in project agreements.

We can assist throughout the outsourcing lifecycle, including initial due diligence and partner selection, negotiating outsourcing terms and conditions, and operational transition and change. We work closely with the employment law team and other specialists in Taylor Walton upon TUPE issues, contract re-negotiation and exit strategies where required.

Internet and e-commerce

Many of our clients have online fulfilment and deliverables embedded in their business model. We advise on a wide range of Internet and e-commerce project issues, including e-banking and payments, security, distance selling, financial services, consumer legislation and other regulatory matters.


Telecommunications law often moves as swiftly as the underlying technologies. We have strong experience in evaluating, negotiating, and preparing voice and data communications agreements, interconnection contracts; reseller agreements, network roll-outs and equipment supply, maintenance and support contracts.

Technology, data protection etc aspects of corporate transactions

We partner with our Corporate team on transaction legal due diligence for buyers, sellers, investors and secured lenders. Risk assessment and transaction logistics are swiftly identified and addressed, including technology and intellectual property ownership and transfer, data protection compliance and post-completion contract restructuring.

Freedom of Information requests

Our experience with both public and private sectors ensures a best practice approach to commercial and public policy issues arising in either making or responding to freedom of information requests.

Technology and outsourcing disputes

We work closely with our Commercial Litigation and Dispute Resolution team to implement effective action plans for technology and outsourcing disputes. Our approach is robust where required, but always pragmatic and cost efficient.
